Nominations for Treasurer and Secretary are being accepted until 3PM ET on Friday, May 14, 2021.

CALL FOR NOMINATIONS

The Travel Health Insurance Association of Canada is seeking nominations of those members interested in serving on the Board of Directors in the positions of Treasurer and Secretary. Both positions shall be for a term of two (2) years, commencing on the date of appointment.

  • Candidates must be nominated and seconded by two active THIA members
  • Directors shall be elected by a plurality of votes cast by members of the Association at the AGM.
  • Directors shall be eighteen (18) or more years of age.
  • Directors shall be a member of the Association in good standing, or shall become a member within ten (10) days after election as a Director.
  • Directors must be eligible to hold an elected position, and must comply at all times with the By-Laws and Code of Conduct.
  • The incumbent Secretary and Treasurer are eligible to stand for either position.

The board of directors strongly encourages all eligible members to consider these opportunities, to contribute and help lead the Association over the next two years. Please do not hesitate to contact one of the board of directors if you have any questions.

Treasurer

The Treasurer shall have the care and custody of all the funds and securities of the Association and shall deposit the same in the name of the Association in such bank or banks or other such depository or depositories as the board of directors may direct.  The Treasurer shall keep or cause to be kept the requisite books of account and accounting records.  The Treasurer may be required to give such bond for the faithful performance of the Treasurer’s duties as the board of directors in their uncontrolled discretion may require but no director shall be liable for failure to require any bond or for the insufficiency of any bond or for any loss by reason of the failure of the Association to receive any indemnity thereby provided.  The Treasurer shall provide an annual financial report, prepared in accordance with generally accepted accounting principles, to the directors and the members.  Due to the nature of this role, it is preferred that nominees have some finance experience.

Secretary

The Secretary shall give or cause to be given notices for all meetings of the board of directors and members when directed to do so, and shall have charge of the corporate seal of the Association, the minute books of the Association and the documents and registers referred to in Section 300 of the Act, including the current membership and mailing lists. The Secretary shall take or cause to be made records of the meetings of the directors and the members.

NOMINATION PROCESS

In accordance with the Association’s by-laws and corporate governance best practices, nominations of suitable individuals for available board positions should be made in writing, using the approved nomination form. To request this form, please contact THIA’s  Executive Administrator at info@thiaonline.com. Nominations must be submitted to THIA's President and Executive Administrator by 3PM ET, Friday, May 14, 2021.

NOMINATIONS WILL NOT BE ACCEPTED AFTER THIS DATE AND TIME, NOR AT THE ANNUAL GENERAL MEETING. The Annual General Meeting of members of the Travel Health Insurance Association of Canada will be held virtually on Tuesday, June 15, 2021, starting at 12 Noon EST.

This process is designed to encourage members to consider the available positions and their ability to contribute to the Association in advance of the AGM. Final nominees will be communicated to the membership prior to the AGM, with voting to occur electronically.  Further details will be forthcoming.

VOTING

Due to the current situation, voting this year will be conducted electronically.  We are currently sourcing an appropriate software solution to facilitate anonymous voting, which also protects the integrity of the vote.  Further details will be provided prior to the opening of the vote, scheduled to run between May 24, 2021 and June 4, 2021.
